Order of Business
Business to be conducted will include consideration of the SRRA’s financial statements for the fiscal years ended August 31, 2025; appointment of auditors; the election of or re-election of Directors and other business that may be brought before the AGM. The current Directors seeking re-election are: Janice Lo, Andrew Monkhouse, Doc von Lichtenberg, Annie Lawton Scurfield and Debra Stockla.
Members will also be asked to approve the following extraordinary resolutions:
- Extraordinary Resolution #1 – Waiver of audit and review engagement for the financial year ending August 31, 2025
- Extraordinary Resolution #2 – Waiver of audit and review engagement for the financial year ending August 31, 2026
In accordance with Section 76 of the Ontario Not-for-Profit Corporations Act, 2010 (ONCA), the following extraordinary resolutions will be presented for approval. An extraordinary resolution requires the approval of at least 80% of the votes cast by members entitled to vote.
Extraordinary Resolution #1 – Financial Year Ending August 31,2025
“BE IT RESOLVED THAT the members approve that the South Rosedale Residents’ Association shall not appoint an auditor and shall not have an audit or review engagement for the financial year ending August 31, 2025, in accordance with Section 76(1)(b) of the Not-for-Profit Corporations Act, 2010 (ONCA).”
Extraordinary Resolution #2 – Financial Year Ending August 31,2026
“BE IT RESOLVED THAT the members approve that the South Rosedale Residents’ Association shall not appoint an auditor and shall not have an audit or review engagement for the financial year ending August 31, 2026, in accordance with Section 76(1)(b) of the Not-for-Profit Corporations Act, 2010 (ONCA).”

Guidelines for AGM Attendees
Members attending the AGM who have not yet paid the membership fees for the fiscal period ended August 31, 2025 are required to remit payment prior to the AGM or at the door.
Members are entitled to appoint, by written proxy, another member or a non-member to exercise the voting rights of the member. A proxy must be deposited with the Secretary of the AGM before the AGM commences.

Nominations for the election of directors, other than those proposed by the Nominating Committee, must be received via email at info@southrosedale.org prior to the AGM.
